Open Sales LLC provides digital marketing and related business services, including but not limited to:

- Local SEO
- Website Design & Development
- Google Business Profile Optimization
- Paid Advertising Management (Google Ads, Meta Ads, Social Media Ads)
- Email Marketing
- Lead Generation
- Conversion Rate Optimization (CRO)
- Content Marketing
- Website Maintenance
- Marketing Consulting
All services are subject to project scope, written agreement, or proposal acceptance.

By using our services, you confirm that:
- You are at least 18 years old
- You have legal authority to enter into binding agreements
Any information you provide is accurate and complete

Any quote, estimate, or proposal provided by Open Sales LLC is valid for 14 days unless otherwise stated.
A project officially begins only after:
- Client approval of proposal
- Receipt of required payment or deposit
Necessary onboarding materials are provided

Payment Terms
Clients agree to pay all fees outlined in invoices, proposals, or contracts.
Unless otherwise agreed:
- Monthly retainers are billed in advance
- Project-based services may require a deposit before work begins
- One-time services require full payment upfront
- Late Payments
Late payments may result in:
- Service suspension
- Delayed deliverables
- Additional administrative fees
Open Sales LLC reserves the right to pause work until outstanding balances are cleared.

Due to the nature of digital marketing services, refunds are generally not guaranteed once work has started.
Refunds may be considered only at our sole discretion in exceptional circumstances.
Non-refundable items include:
- Strategy work
- SEO implementation
- Paid ad setup
- Consulting sessions
- Custom design/development work
- Content creation
- Third-party tool costs

Clients agree to:
- Provide accurate business information
- Deliver required assets (logos, access credentials, content, approvals)
- Respond in a timely manner
- Maintain lawful business practices
- Approve deliverables when requested
Delays caused by client inaction may affect timelines.

SEO rankings cannot be guaranteed.
Search engine algorithms change frequently, and rankings depend on multiple factors beyond our control.
Open Sales LLC does not guarantee:
- #1 Google rankings
- Specific traffic increases
- Specific lead or revenue outcomes
- Search engine indexing speed
We commit to using professional best practices.

For advertising services:
- Ad spend is separate from management fees unless otherwise stated
- Platform approval is outside our control
- Campaign performance depends on multiple variables
We do not guarantee exact ROAS, CPA, or conversion numbers.

Unless otherwise agreed:
- Client-Owned Materials
- Clients retain ownership of materials they provide.
Agency-Owned Materials
Open Sales LLC retains ownership of:
- StrategiesInternal frameworks
- Marketing systems
- Proprietary processes
- TemplatesReports
- Custom methodologies
Final deliverables may transfer ownership only after full payment.

Both parties agree to maintain confidentiality regarding:
- Business strategies
- Login credentials
- Marketing data
- Customer information
- Financial details
This obligation survives termination.

We may use third-party platforms including:
- GoogleMeta
- Mailchimp
- Klaviyo
- Webflow
- WordPress
- Hosting providers
- Analytics tools
We are not responsible for outages, account suspensions, policy changes, pricing changes, or platform decisions made by third parties.

To the maximum extent permitted by law, Open Sales LLC shall not be liable for:
- Lost profits
- Lost revenue
- Business interruption
- Search ranking losses
- Data loss
- Indirect damages
- Consequential damages
Total liability shall not exceed the amount paid by the client for services in the prior 30 days.

We reserve the right to suspend or terminate services if:
- Payment is overdue
- Client violates laws
- Abuse or harassment occurs
- False information is provided
- Requested activities violate platform policies
Clients may terminate ongoing services according to written agreement terms.

Website content is provided for informational purposes only.
We may update, modify, or remove content without notice.
We do not guarantee uninterrupted website availability.

Users may not:
- Attempt unauthorized access
- Copy proprietary content without permission
- Use services for illegal activity
- Distribute malware
- Interfere with website functionality
- Misrepresent identity

You agree to indemnify and hold Open Sales LLC harmless from claims, damages, losses, liabilities, and expenses resulting from:
- Your misuse of services
- Legal violations
- Misleading advertising claims from your business
- Third-party disputes related to your business

These Terms shall be governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Any dispute shall first be attempted to be resolved through good-faith negotiation.
If unresolved, disputes may be handled through mediation or competent courts in Florida.

We may update these Terms at any time.
Changes become effective immediately upon posting to the website.
Continued use of our services constitutes acceptance.
